Acceptable Use Policy (AUP) of TrailerOne GmbH (under formation) for the Use of the trailer.one Marketplace

1. Scope and Contractual Relationship

  1. This Acceptable Use Policy ("AUP") specifies the obligations of sellers ("Vendor", "Seller") when using the online marketplace trailer.one ("Marketplace"), operated by TrailerOne GmbH (under formation), Gewerbepark 18, 49143 Bissendorf, Germany.

  2. This AUP supplements the applicable General Terms and Conditions for Sellers ("Terms") and shall become a binding part of the contractual relationship upon registration or continued use of the Seller account.

2. General Principles of Use

  1. The Seller undertakes to use the Marketplace lawfully, professionally and in accordance with fair market practices.

  2. The Marketplace may only be used in compliance with all applicable laws, these Terms and this AUP.

  3. The purpose of this AUP is to ensure fair competition, transparent market conditions and the reliable execution of all transactions conducted through trailer.one.

3. Requirements for Product Listings and Content

3.1 Permitted Content

  1. The Seller shall only offer products whose sale is permitted under applicable law.

  2. Product descriptions, pricing information, technical specifications, delivery times and all other content must be complete, accurate, not misleading and legally compliant.

3.2 Intellectual Property Rights

The Seller warrants that the products offered and their presentation do not infringe any third-party rights, including but not limited to trade marks, copyrights, design rights or patent rights.

3.3 Statutory Information Requirements

The Seller shall ensure that all legally required information, markings and documentation (e.g. CE conformity, product safety information, cancellation rights, warranty terms and conditions) are provided correctly and in full.

 

4. Contract Performance, Delivery Standards and Service Quality

4.1 Contract Performance

  1. Upon acceptance of an order, a legally binding contract is formed between the Seller and the Buyer. The Seller shall ensure the proper fulfilment of that contract.

  2. The Seller shall process all orders promptly, completely and within the specified delivery period.

4.2 Delivery Times

  1. All stated delivery times are binding.

  2. Any foreseeable delay must be communicated immediately and proactively using the Marketplace's designated communication channels.

4.3 Customer Service

  1. The Seller shall respond to Buyer enquiries within a reasonable period (recommended: within 48 hours).

  2. Complaints, warranty claims and returns shall be handled properly and in accordance with all applicable legal requirements.

5. Payment Processing and Settlement of Proceeds

5.1 Mandatory Payment Systems

  1. All payments processed through the Marketplace shall exclusively use the payment services approved by Bünte Marketplace GmbH.

  2. The Seller acknowledges PayPal Multi Payments as the mandatory and primary payment system for all transactions conducted on trailer.one.

5.2 Settlement of Sales Proceeds

  1. Sales proceeds shall be paid out in accordance with trailer.one's internal settlement procedures and the processes required by the relevant payment service providers.

  2. The Seller shall ensure that all registered bank account details, tax information and company information are accurate and kept up to date.

5.3 Prohibition of Circumventing Marketplace Payments

  1. It is strictly prohibited to process payments outside the payment methods provided by the Marketplace or to encourage Buyers to circumvent the Marketplace's payment system.

  2. Bünte Marketplace GmbH reserves the right to withhold payouts where there is reasonable suspicion of attempts to circumvent the Marketplace until the matter has been fully investigated.

6. Competition Law Obligations and Prohibited Practices

6.1 Prohibition of Anti-Competitive Agreements

The Seller undertakes not to engage in price-fixing, market sharing, coordinated practices or any other conduct that infringes applicable competition or antitrust law.

6.2 Prohibition of Customer Diversion and Off-Platform Transactions

  1. The Seller shall not directly or indirectly encourage Buyers to complete transactions outside the Marketplace.

  2. Links, references, QR codes or any other means intended to direct Buyers to external sales or communication channels are prohibited unless expressly authorised by Bünte Marketplace GmbH.

6.3 Manipulation

The following practices are strictly prohibited:

  • creating, purchasing or manipulating ratings or reviews;

  • manipulating sales figures or usage statistics;

  • deceiving Buyers or the Marketplace operator.

7. Legal, Tax and Organisational Obligations

  1. The Seller is solely responsible for complying with all commercial, tax, consumer protection and product safety laws applicable to its business activities.

  2. The Seller shall maintain complete and up-to-date company information, registrations, licences and supporting documentation (including VAT identification number, registered business address and commercial register information).

  3. The Seller shall provide such documentation for verification upon request.

8. IT Security and Technical Requirements

  1. The Seller shall not upload any content or carry out any activity that may compromise the security, integrity or proper functioning of the Marketplace.

  2. The following activities are prohibited, including but not limited to:

    • uploading malware or malicious software;

    • unauthorised access to or interference with systems or APIs;

    • automated extraction ("scraping") of Marketplace data unless expressly authorised.

  3. The Seller shall implement appropriate measures to protect access to its account, including strong passwords, multi-factor authentication where available and protection against unauthorised use.

9. Data Protection and Handling of Personal Data

  1. The Seller may use Buyers' personal data solely for the purpose of processing the respective order.

  2. Any disclosure or other use of such data is only permitted where authorised by applicable law or expressly agreed by contract.

  3. The Seller shall ensure compliance with the UK GDPR and, where applicable, the EU General Data Protection Regulation (GDPR), together with all other relevant data protection legislation.

10. Sanctions and Measures in the Event of Breaches

  1. In the event of any breach of this AUP, Bünte Marketplace GmbH may, at its sole discretion, take appropriate measures, including but not limited to:

    • issuing written warnings;

    • restricting Marketplace functionality;

    • temporary or permanent suspension of the Seller account;

    • removal of individual product listings;

    • withholding payments pending clarification of the relevant circumstances;

    • termination of the contractual relationship with immediate effect.

  2. Any further legal remedies or claims for damages shall remain unaffected.

11. Amendments to this AUP

  1. Bünte Marketplace GmbH reserves the right to amend or update this AUP at any time.

  2. Sellers shall be informed of any amendments in due time.

  3. Continued use of the Marketplace after the amendments have taken effect shall constitute acceptance of the then current version of this AUP.

12. Final Provisions

  1. Should any provision of this AUP be or become invalid or unenforceable, the validity of the remaining provisions shall remain unaffected.

  2. The General Terms and Conditions of TrailerOne GmbH (under formation), together with any individually agreed contractual provisions, shall apply in addition to this AUP.
